following press release dated October 2, 2024:

Kcell Joint Stock Company (Kcell or Company) (KASE: KCEL), one of the leading
providers of mobile telecommunications services in Kazakhstan, announces the
results of the Extraordinary General Meeting (EGM) held on September 26, 2024.
The EGM agenda included the following:
1. On changes in the composition of the Board of Directors of Kcell JSC.
The EGM adopted the following decisions on the agenda items by a simple
majority of votes:
1. To terminate the powers of the following members of the Board of Directors of
Kcell JSC: Alexander Lezgovko and Aliya Kishkimbayeva.
2. To elect Alibek Indykbayev and Yerzhan Meiramov to the Board of Directors of
Kcell JSC as members of the Board of Directors of Kcell JSC, representatives
of shareholder Kazakhtelecom JSC.
3. To determine the term of office of Alibek Indykbayev and Yerzhan Meiramov,
members of the Board of Directors of Kcell JSC, starting from the date of
election until expiration of the term of office of the current Board of
Directors of Kcell JSC established at the Annual General Meeting of
Shareholders on May 19, 2022 (Minutes #21) – May 18, 2025.
The new Board of Directors of Kcell JSC includes:
1) Alexey Buyanov – Chairman of the Board of Directors, independent director;
2) Aset Abdualiev – Member of the Board of Directors, independent director;
3) Alibek Indykbayev – Member of the Board of Directors, representative of
shareholder Kazakhtelecom JSC;
4) Jere Calmes – Member of the Board of Directors, independent director;
5) Yerzhan Meiramov – Member of the Board of Directors, representative of
shareholder Kazakhtelecom JSC;
6) Sanzhar Zhamalov – Member of the Board of Directors, independent director;
7) Dauren Kereybayev – Member of the Board of Directors, representative of
major shareholder Galimzhan Yessenov.
